1. Entertainment Use Only — Not Coaching or Financial Advice

PokerXFactor is for entertainment and personal analysis only.

PXF does not constitute financial, gambling, investment, coaching, or legal advice. We make no guarantee of poker improvement, winnings, or any specific outcome — and PXF is not a substitute for professional coaching or financial advice. Poker involves real risk, including loss of money. You are solely responsible for your own play decisions and any losses incurred.

You are also solely responsible for compliance with all gambling, gaming, and tax laws applicable to you in your jurisdiction. PXF does not facilitate or host real-money gambling — we analyze hand history exports from third-party platforms (such as PokerNow) after games have ended.

2. Acceptance of Terms

By accessing or using PokerXFactor ("the Service"), including the PXF Hand History Analyzer and PXF Oracle, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. PXF is operated by Mindwise Media, LLC ("we", "us", "our").

3. Description of Service

PokerXFactor provides poker training content and the PXF Analyzer — a tool for replaying and analyzing poker hand histories you export from PokerNow and similar platforms. Some features use AI-generated commentary ("PXF Oracle"). The Service is offered in Free and paid subscription tiers.

4. AI-Generated Content (PXF Oracle)

PXF Oracle and any other AI-generated commentary or coaching are produced by large language models. AI output may contain errors, omissions, or misjudgments. Do not rely on AI output for real-money decisions or live play. Treat all AI commentary as one perspective among many, not as professional advice.

5. Hand History Data & Ownership

You retain ownership of any hand history data you upload to PXF. By uploading, you grant Mindwise Media, LLC a limited, non-exclusive, worldwide, royalty-free license to ingest, store, process, analyze, and display that data — and any derivative analytics, statistics, summaries, or AI-generated commentary — solely to provide and improve the Service for you and your account.

Current storage (as of May 2026): Uploaded hand histories are stored in our secure Supabase database, scoped to your account via row-level security. Only you and authorized PXF operators acting on your behalf (e.g., responding to support requests) can access them.

Future storage models: We may evolve PXF to offer tier-differentiated storage — for example, Free-tier hand histories stored only in your browser (local-first) while paid tiers offer cloud sync, longer retention, or larger upload limits. Other future variants may include team accounts, home-game shared databases, or selectable storage regions. The Privacy Policy and your account settings will reflect the actual storage location and behavior for your data at any given time.

How we use it: We use your uploaded data to (a) provide the Service to you (replay, analytics, AI commentary, session reports, recap emails you trigger, hand sharing, leak detection, opponent profiling, and similar features), (b) diagnose and fix issues you report, (c) generate aggregate, non-identifying product and usage metrics, and (d) develop, test, and ship new features for your account or for the Service generally.

What we don't do: We do not sell your hand histories. We do not use them for third-party advertising. We do not provide them to other PXF users without your explicit action (e.g., generating a public share link or sending a recap email is your action, not ours). We do not use them to train third-party AI models — AI features pass the relevant subset of data to providers like Anthropic under contractual restrictions that prohibit training on it.

Other players' names: Hand history exports from third-party platforms (such as PokerNow) typically contain the display names of other players at your table. By uploading, you confirm you have the right to share this data with PXF for personal analysis purposes consistent with the source platform's terms of service. PXF treats those names as belonging to your private analysis context and does not link them to other accounts without your explicit action.

Future features and material changes: PXF is actively developed. We may add, change, remove, or rename features at our discretion — including features that operate on your hand history data, such as cross-session statistics, opponent leaderboards, AI coaching, public hand galleries, community comparisons, affiliate links in recap emails, social sharing, or referral programs. We will reflect any material change in how we collect, use, store, or share your data in the Privacy Policy, identified by an updated "Last updated" date and version tag. Your continued use of the Service after a material change constitutes acceptance of the updated terms. You may delete your account and associated cloud-stored data at any time per the Privacy Policy.

Operational use: Independent of features, we may access account-scoped data when strictly necessary to operate the Service — including diagnosing reported bugs, investigating abuse or violation of these Terms, responding to legal process (with notice to you where lawful), preventing fraud, or migrating data during infrastructure changes.

6. User Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating an account. We may suspend or terminate accounts that violate these Terms.

7. Subscriptions, Payments & Club Ledger

Paid subscriptions are billed via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not store your payment card details — Stripe handles all payment data.

PXF Club is a free ledger tool — PXF collects no fees, commission, or rake. PXF Club lets a group organizer track a shared fund (for example, a recurring entry fee for a group trip or event) among members of their private poker crew. PXF Club is provided free of charge to all users.

PXF does not collect, hold, process, or transmit any money through the Club feature. All amounts shown — deposits, entry fees, balances, refunds — are records entered by the organizer for the group's own bookkeeping. Actual funds move directly between members and their group's own designated organizer, entirely outside of PXF (for example, via Venmo, Zelle, or cash). No funds are distributed to or from users within the Service, and PXF derives no revenue, fee, or share of any kind from amounts tracked through Club.

The organizer, not PXF, is solely responsible for collecting, holding, and disbursing any group funds, and for compliance with all applicable laws in their jurisdiction governing private group funds, wagering, or gaming. PXF does not facilitate, host, or take part in any gambling activity through this or any other feature.

8. Acceptable Use

  • Don't attempt to reverse-engineer or extract our AI models or analysis systems.
  • Don't share account credentials, scrape the Service, or use automated tools that degrade performance for others.
  • Don't upload hand histories or content you don't have rights to share.
  • Don't use PXF to facilitate cheating, collusion, or any unlawful activity.

9. Intellectual Property

The PXF Service — including its software, design, content, and AI prompts — is owned by Mindwise Media, LLC or its licensors and is protected by copyright and other laws. We grant you a non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. You retain ownership of your own uploaded hand history data as described in Section 5.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that analysis results will be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, Mindwise Media, LLC and its operators, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or poker winnings, arising from your use of the Service. Our total aggregate liability shall not exceed the greater of (a) the amount you paid for the Service in the preceding 12 months or (b) USD $50.

12. Electronic Communications

By creating a PXF account, you consent to receive electronic communications from us — including transactional emails (welcome, account activity, support), session recap emails you trigger, and occasional product announcements. You can opt out of non-essential email at any time by contacting us or following the unsubscribe link in those emails.

13. Indemnification

You agree to indemnify and hold harmless Mindwise Media, LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Children Under 18

PXF is intended for users 18 years of age or older. We do not knowingly collect information from individuals under 18.

15. Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles. Subject to the Arbitration provisions in Section 16 below, any dispute that proceeds in court shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

16. Dispute Resolution — Arbitration, Class-Action and Jury Waivers

Please read this section carefully — it affects your legal rights.

Informal resolution first. Most disputes can be resolved without formal process. Before initiating arbitration or litigation, you agree to first contact us at support@pokerxfactor.com and give us 30 days to address your concern in good faith.

Binding individual arbitration. If the dispute is not resolved within 30 days, you and Mindwise Media, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of the Service — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in Colorado or by video conference at the arbitrator's discretion. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Mindwise Media, LLC agree to resolve disputes only on an individual basis. You waive any right to bring or participate in a class action, collective action, consolidated action, mass action, or representative action against us, and you waive any right to have a dispute resolved as a class arbitration. The arbitrator may not consolidate or hear claims from more than one user, and may not preside over any form of representative or class proceeding. If a court determines that this class-action waiver is unenforceable, then the entire arbitration provision in this Section 16 is null and void, and the dispute will instead be resolved in the courts identified in Section 15.

Jury-trial waiver. To the extent any dispute is heard in court (for example, under one of the exceptions below or if the arbitration provision is found unenforceable), you and Mindwise Media, LLC each waive any right to trial by jury.

30-day opt-out. You may opt out of this Section 16 (the arbitration and class-action / jury-trial waivers) by sending an email to support@pokerxfactor.com within 30 days of first agreeing to these Terms, with the subject line "ARBITRATION OPT-OUT" and including the email address associated with your account. Opting out has no effect on any other section of these Terms.

Exceptions. Notwithstanding the above, either party may (a) bring an action in small-claims court for any qualifying dispute, and (b) seek emergency or injunctive relief in court for intellectual-property infringement, unauthorized access to the Service, or to prevent imminent and irreparable harm.

17. Severability

If any provision of these Terms is found unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Survival

The following sections survive any termination, suspension, or cancellation of your account or these Terms: Section 1 (Entertainment Use Only), Section 5 (Hand History Data & Ownership, as to historical use), Section 9 (Intellectual Property), Section 10 (Disclaimer of Warranties), Section 11 (Limitation of Liability), Section 13 (Indemnification), Section 15 (Governing Law), Section 16 (Dispute Resolution), Section 17 (Severability), this Section 18, Section 19 (Force Majeure), and Section 20 (Entire Agreement).

19. Force Majeure

Mindwise Media, LLC is not liable for any failure or delay in performing the Service caused by events beyond our reasonable control — including but not limited to natural disasters, acts of war or terrorism, government action, labor disputes, internet or telecommunications failures, infrastructure-provider outages (e.g., Cloudflare, Supabase, Anthropic, payment processors), supply-chain failures, public health emergencies, or any other force majeure event. If such an event materially impairs the Service for an extended period, we may suspend or modify affected features without liability.

20. Entire Agreement; Assignment; Waiver

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mindwise Media, LLC regarding the Service and supersede any prior agreements, representations, or understandings. You may not assign or transfer your rights under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, sale of assets, financing, or by operation of law without notice to you. No failure or delay by us in enforcing any right under these Terms constitutes a waiver of that right.

21. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification, and continued use after such changes constitutes acceptance. Each version is identified by the date in the "Last updated" line at the top of this page.
